Terms & Conditions

1. Services Provided

We provide a range of services including but not limited to:

• Website Design (primarily WordPress-based)
• SEO Strategy & Setup
• Branding & Logo Design
• Website Maintenance & Administration
• Photography & Videography
• Content Creation & Writing

Deliverables may include WordPress websites, logo files, SEO setup, image files, video files, and other design materials.

2. Project Scope & Revisions

• Each project includes 1 round of revisions. Additional revisions will be billed at $150/hour.
• Scope of services will be defined in a separate project proposal or agreement.
• Requests outside of the original project scope will be treated as new work and may require a separate quote.

3. Payment Terms

• Projects are billed per project unless otherwise agreed. Some smaller jobs may be billed hourly.
• A 50% deposit is required before project commencement. The remaining 50% is due upon completion and before launch or delivery of files.
• No late fees will be charged; however, websites may be taken offline if payment is not received within 15 calendar days after the final invoice is issued.

4. Cancellations & Refunds

• If you cancel a project after deposit but before delivery, you forfeit the 50% deposit. No other refunds will be given.
• Ube Bread does not offer full or partial refunds under any other circumstances.

5. Client Responsibilities

• Unless otherwise agreed, you are responsible for providing all web copy and images.
• If content is not delivered in a timely manner, or if you do not respond to active project communications within 48 hours, the project will be paused and timelines may be reevaluated and shifted.

6. Intellectual Property & Licensing

• Upon full payment, you will own all original design, photography, videography, and writing deliverables.
• Any stock images, videos, fonts, or templates used are licensed, not owned, and subject to licensing terms.
• You agree to only use legally licensed images and content. If a violation is detected, your website may be temporarily suspended. Repeated violations may result in termination of services and forfeiture of any remaining hosting fees.

7. Third-Party Tools, Plugins & Hosting

• We may install or configure third-party tools (e.g., themes, plugins). We will pre-bill you annually for these services.
• You are responsible for ongoing licensing costs unless otherwise agreed in writing.

8. Communication & Availability

• Our preferred communication method is email. During active projects or open requests, we ask that you respond within 48 hours. If we do not hear back, your project will be paused or your inquiry closed.
• Office hours are Monday–Friday, 9:00am to 2:00pm (Pacific Time). Support outside of these hours (weekends only) is available for urgent requests and will incur a $50/hour surcharge on top of the standard hourly rate of $150.

9. Design Credit

All websites designed by Ube Bread will include a small, discreet footer credit that links to our website (e.g., “Website by Ube Bread”). Removal of this credit is not permitted unless otherwise agreed in writing and may incur an additional design fee.

10. Portfolio Rights

We reserve the right to display completed work—including screenshots, logos, branding materials, and live website links—as part of our portfolio, case studies, marketing materials, and across our website and social media channels, unless otherwise agreed in writing prior to project start.

We will never share confidential business information, unpublished content, or anything deemed proprietary by the client without permission.

11. Limitation of Liability

We are not liable for any indirect, incidental, or consequential damages, including lost profits, downtime, or data loss. Our total liability for any claim related to services rendered shall not exceed the total amount paid by you for the specific project.

12. Termination of Agreement

We reserve the right to terminate this Agreement at any time if you breach any terms or fail to cooperate in a professional and respectful manner. In such cases, all completed work to date will be delivered and invoiced, and any remaining balance must be paid in full.

13. Governing Law

This Agreement shall be governed by and construed under the laws of the State of California, without regard to its conflict of laws principles. Any disputes shall be resolved in the courts of Los Angeles County, California.

14. Acceptance of Terms

By hiring Ube Bread for any services, you acknowledge that you have read, understood, and agreed to these Terms & Conditions. These terms may be updated from time to time and will be made available on our website.
